Terms & Conditions.

These Terms are between IELTS Sim, a partnership carrying on business at Ambarkhana, Sylhet, Bangladesh (“IELTS Sim”, “we”, “us”), and the institute or independent instructor named in the order confirmation (“you”).

The order confirmation records the plan, exam-seat count, price, setup fee, trial end, billing start, and the version of these Terms. It may be an email or a document we send to the account administrator.

By activating the account, paying an invoice, or confirming acceptance in writing, you accept these Terms on behalf of the institute. You confirm that you are at least 18 and authorized to bind the institute.

If there is a conflict, the order confirmation controls the commercial details: plan, seats, price, and dates. These Terms control the service. The Privacy Policy controls personal data.

Definitions

Billing Period

The monthly period that starts on the first payment date and renews on the same date each month.

Inactive Date

The date the institute account becomes inactive under section 07, or the effective date of cancellation or termination.

Order Confirmation

The email or document that records the plan, seats, price, setup fee, trial end, billing start, and the version of these Terms.

Exam Seat

One student completing one full mock exam, as explained in section 05.

IELTS is a registered trademark of the British Council, IDP IELTS Australia, and Cambridge University Press & Assessment. IELTS Sim is not affiliated with or endorsed by them.

We provide a browser-based IELTS mock exam platform for institutes and independent instructors. It includes ready-made Academic and General Training tests, digital Listening, Reading, and Writing, session setup, monitoring, marking and review, and branded reports.

Speaking is not delivered digitally. Your examiners run the Speaking interview offline and enter the criteria and feedback. The platform calculates the Speaking band and includes it in the combined report.

The service does not include test authoring or editing, AI evaluation, digital Speaking, or official IELTS registration. It is a mock exam product, not the official IELTS test.

You are responsible for the room, devices, internet, invigilation, candidate identity, student conduct, the Speaking interview, the marks and feedback you enter, and the results you publish. You must use the service for mock exams only.

The platform is for desktop or laptop browsers. Phones and tablets are blocked before the exam loads.

We create one administrator account for the institute. The administrator is authorized to accept these Terms, cancel, change plans, buy top-ups, and manage students.

Student accounts and batches are unlimited. Students are invited by email and set their own password. Up to 50 students can sit in one session. Invitation emails may be subject to a daily limit to prevent abuse.

You must have the authority to create student accounts and upload student data, and you must give any notices or obtain any consents required by law.

Keep credentials secure. Tell us promptly about unauthorized access. We may suspend an account for security, abuse, non-payment, or breach.

We may update the platform from time to time. We will give reasonable notice of material changes where practicable.

We provide one seven-day trial per institute. It starts on the activation date in the order confirmation and ends at the end of the seventh day. It includes full platform access and unlimited exam seats.

No payment is due during the trial. The trial does not convert automatically. There is no post-trial grace period.

You may choose a paid plan before the trial ends. The paid period starts on the date we record your payment. The trial ends then, and unused trial days are not carried forward. Trial exams do not consume paid seats.

If you do not choose a plan, the trial ends and you owe nothing. The trial account becomes read-only for 30 days, then we close it and delete the trial data, including student accounts. During those 30 days, you may still choose a plan; the paid period starts on the payment date. The 12-month student read-only period in section 10 applies only to paid institutes.

The trial is for evaluation with your own students. You may not resell it or use it for a live commercial exam. A returning institute does not get another trial.

We offer three monthly packs. Prices are in BDT.

Every pack includes the same platform, student accounts, batches, reports, and support. Only the monthly exam-seat count changes.

One Exam Seat is one student completing one full mock exam. A separate exam uses another seat. A seat is reserved when an exam starts, spent when it completes, and released if the attempt is cancelled, invalidated, or ends without the student opening a module. Seats reset at the start of each Billing Period. Unused seats do not roll over.

The one-time setup fee is ৳6,000. It is added to the first payment, with the first month, and is not recurring. It is non-refundable. It is charged once per institute with the first paid plan. It is not charged again if the institute reactivates within 12 months after the Inactive Date. After 12 months, a new setup fee applies. A trial-only institute that never paid the setup fee pays it when it first chooses a plan. Plan changes and top-ups do not trigger another setup fee.

Top-ups are packs of 25, 50, or 100 exam seats, quoted as a pack. They are available while the account is in good standing, expire at the end of the current Billing Period, do not roll over, and do not change the plan. They are non-refundable. We do not sell top-ups while an invoice is overdue.

No VAT or other tax is currently charged. If tax becomes applicable, we will show it separately on the invoice.

Billing is monthly only. The first month is prepaid. The first Billing Period starts on the date we record the first payment and renews on the same date each month, using Bangladesh calendar dates. We clamp short months to the last day.

We issue an invoice seven days before renewal. It is due on the renewal date. Invoices and payment records are in the account.

Payment is offline. We accept the methods stated on the invoice. We do not store card details. Payment is confirmed when we record it. You are responsible for your bank charges and for sending proof of payment if we ask.

If you do not pay by the due date, section 07 applies.

If an invoice is not paid by the due date, you get seven days of grace with full access. There is no late fee.

From day eight, the institute account is read-only. You can sign in, read history, manage students and content, but you cannot schedule or start exams or send new invitations. A running exam finishes normally.

From day fifteen, the account is inactive. The administrator can sign in only to see the amount due and payment instructions. Students keep read-only access under section 10.

If you pay within the grace period, the period is charged from the original renewal date.

If you pay after read-only begins, the outstanding invoice remains due. The new period starts on the date we record payment of all outstanding amounts and the new month. The account is reactivated then.

If you cancel before paying an unpaid renewal invoice, we will void that invoice under section 08.

You may cancel by email from the account administrator toieltssim@gmail.com. Cancellation is effective when we confirm receipt.

If you cancel before paying a renewal invoice, we will void that unpaid invoice. If you cancel during the seven-day grace period, access ends when we confirm cancellation and the invoice is void. If you cancel after read-only begins, the unpaid renewal invoice is void, and the account remains read-only until closure. If you cancel after paying, the paid period is not refunded and access continues to the end of that period.

Plan changes take effect at the next renewal. Tell us before the next renewal invoice is issued. We do not prorate or refund the current period. To add seats before renewal, buy a top-up. Downgrades take effect at the next renewal.

We may suspend or terminate your account for non-payment, breach, unlawful use, or security risk. If we terminate for your breach, unpaid invoices remain due and the setup fee is not refunded.

The setup fee is non-refundable. Monthly fees are non-refundable once paid, including the first month before the paid period starts. Unused seats and top-ups are non-refundable. There is no cooling-off period, except where the law requires one.

We will refund duplicate or mistaken payments.

If a platform failure prevents a paid exam, notify us within seven days with the session and candidate details. We will restore the affected seat to the current Billing Period. If fewer than seven days remain, we will add it to the next Billing Period. This is the primary remedy, not a cash refund. A failure of your internet, power, devices, or browser is not a platform failure. Scheduled maintenance is not a platform failure if we give reasonable notice.

If we cannot restore the seat, or if we cannot provide the service for a material part of a paid period, we will agree a fair credit or refund with you.

If we permanently discontinue the service, we will refund the unused portion of the current paid period.

Nothing in these Terms excludes a refund or remedy that cannot be excluded by law.

While the institute is active, students have normal access to their accounts, exams, results, history, and notices.

If a paid institute becomes inactive, students keep a read-only account for 12 months from the Inactive Date. They can sign in, reset their password, and view published results, history, and notices. They cannot take new exams, edit their profile, or upload a photo. If the institute reactivates within 12 months, normal access returns. After 12 months, we may close the accounts and delete the data under the Privacy Policy.

Trial-only accounts are different. Thirty days after the trial ends, we close the trial account and its student accounts and delete the data.

The institute may export its data while the account is active and during the 12-month read-only period. For trial-only accounts, export is available during the 30 days.

The institute is responsible for the lawfulness of the student data it uploads, for notices and consents, and for responding to student requests. We process the data to provide the service. ThePrivacy Policy explains the details.

You may use the service only for lawful mock exams for your own students. You may not resell, sublicense, copy, scrape, reverse engineer, or provide the service to another institute; share test content; attempt unauthorized access; use the service for the official IELTS test; upload unlawful, harmful, or infringing content; or interfere with the platform.

We own the platform, the ready-made tests, the report templates, and our branding. We grant you a limited, non-exclusive, non-transferable right to use the service for your internal mock exams during the term. All rights not granted are reserved.

You own your institute name, logo, and student data. You grant us a limited licence to use them to provide the service, including on reports. Student answers and writing remain the student's or institute's property; we process them to provide the service.

The IELTS trademarks belong to their owners. We are not affiliated with or endorsed by them.

We provide the service with reasonable skill and care. We do not guarantee uninterrupted service or any particular IELTS band or outcome.

To the maximum extent permitted by law, our total liability for all claims arising from the service in any 12-month period is limited to the fees you paid in the three months before the event. We are not liable for indirect or consequential loss, lost profits, lost opportunities, or exam outcomes.

Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury, or any liability that cannot be limited by law.

You indemnify us against claims arising from your student data, your misuse of the service, your breach of these Terms, or your exam integrity.

The agreement starts when you accept these Terms and continues month to month until cancelled. We may suspend or terminate for non-payment, breach, unlawful use, or security risk. On termination, access ends; unpaid invoices remain due; data is handled under the Privacy Policy; the setup fee is not refunded.

We may update these Terms. Material changes get 30 days' notice to the administrator email. Continued use after the effective date accepts the new Terms. If you do not agree, cancel before the effective date. Price changes get 30 days' notice and apply from the next renewal.

Notices: email to the administrator for account matters. Legal notices toieltssim@gmail.comand Ambarkhana, Sylhet, Bangladesh. Email is the primary method; a notice is received when sent unless it bounces.

These Terms are governed by the laws of Bangladesh. The courts in Sylhet, Bangladesh have exclusive jurisdiction, subject to any mandatory law. Before starting a claim, contact us and try to resolve the dispute in good faith for 30 days.

If a provision is invalid, the rest remains. No waiver. You may not assign these Terms without our consent; we may assign to a successor. The order confirmation, these Terms, and the Privacy Policy are the entire agreement and replace any earlier discussion. Nothing in these Terms creates a partnership, joint venture, employment, or agency between the parties.

Neither party is liable for delay or failure caused by events beyond its reasonable control, except payment obligations. We will still apply the seat restoration remedy where a platform failure prevents a paid exam.
